Capital Investors Academy: Terms of Enrollment

DRAFT for attorney review — not in effect.

Draft of 15 Oct 2026. Not reviewed by an attorney. Nobody may be charged under these terms until the attorney has cleared them. Markers: Attorney... is a question for counsel; Owner... is a fact the owner must fill in.

1. Who we are

Capital Investors Academy ("the Academy", "we", "us") is an educational program run by Cedar Acquisitions LLC, a Florida limited liability company, 4874 NW 97th Pl., Doral, FL 33178. You can reach us at offers@cedaracq.com or 754-260-7289.

Attorneyshould the Academy be sold by a separate entity from Cedar Acquisitions LLC, which buys real estate? The plan suggests considering one, to keep course liability and payment risk away from the buying business.

These terms are a contract between you and us. By ticking the box at checkout and paying, you agree to them. Read them before you pay. If you don't agree, don't enroll.

2. What you get

The program is six weeks of lessons, exams and milestones at the recommended pace (about 8 hours a week). It is self-paced with gates: each week unlocks when you pass the previous week's exam and complete its milestone, so you can move faster or take longer. You can enroll any day, and the classroom and Week 1 open as soon as your payment goes through ("your start date"). The Academy launches on Monday 2 November 2026. People who enroll by Sunday 1 November 2026, 11:59 pm Eastern are founding members: they also get a founding-member badge in the community and a private founders' Q&A with Michael Moughames and Nicolas Faure. Founding members who enroll before launch start on 2 November 2026.

Before you enroll: a one-minute fit check. If you can give about 8 hours a week and confirm the three statements it shows, you get a personal enrollment link, valid for 7 days.

When you enroll:

  • the classroom and community on Whop, and Week 1 (setup and foundations);
  • the student calculators, the document generator and the address lookup.

While you're enrolled (for 6 months from your start date):

  • six weeks of lessons and milestones on real listings, with an exam in each of weeks 1 to 5 (80% to pass, retakes allowed) and a capstone in week 6: you submit a deal package and a recorded walkthrough when you're ready, and it is passed or failed in a live group capstone review held every other week;
  • 3 live sessions every week, open to participants at any stage: a Monday course call (teaching and questions), a Wednesday deal review, and a Friday community call, all at 7 pm Eastern, plus guest sessions twice a month on Thursdays, with a different guest practitioner each month, announced ahead of time (RSVP to attend);
  • a recording of every live session, posted within 24 hours. Live sessions are recorded, including what students say and show on camera or screen. By joining a live session you agree to be recorded, and the recording is shared with other participants, including people who enroll later. Turn your camera off or use the chat if you prefer. AttorneyFlorida is an all-party consent state for recording (Fla. Stat. 934.03). Is this notice, plus an on-screen notice at the start of each call, enough? Can recordings with students in them be reused for later participants or marketing?;
  • a pod of 5 to 6 participants (new members are grouped into pods every two weeks), and the community;
  • a capstone: a full deal package and a recorded walkthrough, reviewed live with the group by Cedar's faculty (your submission and the faculty's feedback are shared with the other participants on that call; your detailed score is private);
  • a Certificate of Completion if you graduate (section 9).

When the access window ends (graduating early doesn't shorten it): you keep access to the course recordings, the materials, the toolkit (the calculators, the property lookup within its fair-use limits, and the document generator), the community and the weekly community call for as long as the Academy runs, including if you paid once. Attorneyconfirm "for as long as the Academy runs" is the right way to word lifetime access, and what notice we owe if it ever closes.

We may change the order, the content, the session days or the teachers to keep the program current, as long as what you receive is substantially the same as what we described. Attorneyis this change clause acceptable alongside a no-refund policy, or does it need limits?

Some parts are still being built as the course runs, one week ahead (the exam engine, the certificate system, the community and the objection script library). Attorneywhat do we owe a student if a promised feature is late or never delivered? See section 4.2.

Graduation. To graduate you must pass all five exams, complete the five milestones (including 10 deals underwritten, 25 offers sent and the role-play call) and pass the capstone, within the access window. You set your own pace inside it. Attorneyconfirm a time limit on graduation is fair alongside lifetime access to the recordings.

3. Price and payment

The price is $1,997 for one enrollment. You can pay:

  • in full by card or bank transfer;
  • through Affirm or Klarna, only once each has approved us, on their terms and subject to their approval of you. We don't charge more for using them;
  • in 4 payments of $499.25 (total $1,997), charged today and then once a month for three months to the card or bank account you give at checkout. There's no interest and no fee: the total is the same as paying in full.

Payments are processed by Stripe on the Academy's own account. We never see or store your full card number.

Attorneyconfirm the 4-payment plan at the cash price with no fee stays outside Regulation Z (TILA), Florida retail installment-sales rules and any lending licence. Confirm what the plan disclosure must say at checkout.

4. No refunds

All sales are final. We do not give refunds, in whole or in part, for any reason, once you have paid.

This is because the classroom, the tools and the community open to you the moment you pay. Before you pay, you must tick a box confirming you have read and agree to this policy. If you aren't sure, take the free fit check and use the free calculator first.

The no-refund policy covers the whole $1,997, whichever way you pay.

4.1 If you're on the 4-payment plan and payments stop

If a payment fails or you stop paying:

  • we'll tell you by email and try the payment again Ownere.g. up to 3 times over 7 days;
  • your access to the classroom, the live sessions and the tools is paused until the plan is up to date;
  • the rest of the $1,997 is still owed. Stopping payments doesn't cancel the purchase.

Attorneyis it enforceable to hold a student to the remaining balance when they stop using the program? What are the collection rules if we pursue it (Florida Consumer Collection Practices Act, Fla. Stat. 559.55 onward; FDCPA if a third party collects)? Can we use a collection agency, and what notice do we give first? Should we instead just end access and write off the balance?

4.2 If we can't open your classroom

If your classroom isn't open within Ownere.g. 14 days of your start date (for founding members who enrolled before launch, Monday 2 November 2026), or we cancel the program, you can choose to:

  • wait for it to open, with your 6 months counted from the day it does; or
  • get a refund of what you've paid.

Attorneyconfirm this exception, and whether a no-refund policy also has to give way if we fail to deliver a material part of what we sold (FTC Act section 5; Florida Deceptive and Unfair Trade Practices Act). Do we need a pro-rata refund in that case?

4.3 If you miss live sessions

Missing live sessions doesn't entitle you to a refund. Every session is recorded and posted. Bring your questions to the next office hours.

4.4 Chargebacks

If you dispute a charge with your bank instead of contacting us, we'll share these terms, your tick-box agreement and your access records with the bank, and your access is paused while the dispute is open. Please contact us first at offers@cedaracq.com; most problems can be fixed.

AttorneyFlorida law or Stripe rules on cooling-off periods? Florida has no general three-day cancellation right for online sales of this kind as far as we know, but please confirm, including the home-solicitation rule if a sale is ever closed on a phone call or in person.

5. Graduate Support Policy

Attorneythis whole section is pending your review and must not be published or relied on until cleared. Open questions: (1) whether this commitment, on a sale over $500, brings the program under Fla. Stat. 559.801 (business opportunity / sales and marketing program registration and bond) or the FTC's guarantee rules; (2) whether "until you do" should be capped at a term (e.g. "for up to [n] months"); (3) the final wording.

Complete every milestone and graduate on schedule. If you then send at least 200 offers using the method within 60 days of graduating and don't have an accepted offer or signed contract, we keep you in office hours and deal reviews at no cost until you do.

To use it you must:

  • graduate within six weeks of your start date (the recommended pace);
  • send at least 200 offers in the 60 days after graduation, logged Ownerhow offers are logged and checked, e.g. in the program tracker or OfferConsole;
  • ask us in writing within Ownere.g. 30 days after the 60 days end.

This is a promise of continued support only. It is not a promise of a deal, a property, income or a refund.

6. Code of conduct

In the classroom, the community, live sessions and pods:

  • be respectful. No harassment, discrimination, threats or spam;
  • don't pitch your own services, recruit students or post affiliate links without our permission;
  • keep other students' deals, names and numbers confidential;
  • don't record live sessions yourself or share recordings;
  • don't share your login;
  • follow the law when you contact sellers, agents and buyers, including the telemarketing, texting and fair-housing laws.

We may suspend or remove anyone who breaks these rules. Removal for a serious or repeated breach doesn't entitle you to a refund. Attorneyconfirm removal without refund is enforceable.

7. Our materials and your licence

The lessons, recordings, exams, calculators, document templates, scripts and other materials are owned by us or our licensors. When you pay, we give you a personal, non-transferable, non-exclusive licence to use them for your own education and your own deals during your access term.

You may:

  • use the calculators and generated documents for your own deals, after your own attorney has reviewed any contract.

You may not:

  • copy, resell, share, publish or teach from the materials;
  • share recordings or your login;
  • use the materials to build a competing course or tool;
  • scrape or bulk-download the tools.

What you type into the tools (your deal inputs and buyer details) stays yours. See the Privacy Policy for how it's handled.

8. The tools and what they are not

The program and its tools are education only. They are not legal, tax, accounting, investment or financial advice, and no attorney-client, adviser or fiduciary relationship is created. The attorney and transaction coordinator guests teach; they don't advise on your deal.

  • Calculators give estimates. They depend on the real loan statement, inspection, lender, title and local law. Market data (Zillow Research indexes, U.S. Census geography and paid property records) can be wrong or out of date. Check every number before you make an offer.
  • Contracts and letters from the document generator are Florida forms marked SAMPLE until an attorney has reviewed them. Even after review they are educational templates. Have your own attorney review any contract before you use it.
  • State laws vary. Contracts, disclosures and practices differ by state. Several states license or restrict wholesaling (marketing a contract you don't own). Selling a property on seller financing can trigger loan-originator licensing (SAFE Act, Dodd-Frank) and other rules. Buying subject to an existing loan carries due-on-sale risk, and the seller usually stays liable for the loan. Check the law in your state.
  • No licence. The program isn't a real estate licence or a mortgage loan originator licence, and it doesn't let you act as an agent or broker for anyone else.
  • Partners. Any title company, attorney, transaction coordinator or software we mention is a suggestion. We receive no referral fee from title companies, attorneys or transaction coordinators. Where we earn from a software link, we say so.
  • We don't buy your deals. We don't promise to buy, fund, assign, partner on or find buyers for any student's deal, and we don't supply leads.

Attorneythe seller-protection and due-on-sale disclosure language the course must include (plan §9 Q8); the disclaimers needed when students in other states use the Florida templates.

9. No earnings claims

We make no claims about income or results. Most people who take a course like this don't buy a property during it, and many never do. Any numbers we show from Cedar Acquisitions' own work (for example, offers sent and replies) are our own activity, not student results, closed deals or revenue, and they are not typical of what students achieve. Your results depend on your market, your effort, your money, your skill and many things outside our control.

Attorneyconfirm this typicality language and the sales copy against the FTC earnings-claims guidance and the Business Opportunity Rule (16 CFR 437). Should we say "most people … don't buy a property" without data to support it, or soften it?

10. The Certificate of Completion

If you graduate, you get a Certificate of Completion with a link anyone can check. It shows that you met the program's published standard. It is not a licence, a degree, an accreditation, a professional certification or a state approval, and it doesn't qualify you for any licence.

Attorneyconfirm "Certificate of Completion" is allowed and this disclaimer is enough (Florida Commission for Independent Education rules on unlicensed postsecondary claims; real estate education rules).

11. Limitation of liability

To the fullest extent the law allows:

  • the program and tools are provided "as is", without warranties of any kind beyond those in these terms;
  • we're not liable for any loss from a deal, offer, contract or decision you make, whether or not you used our tools;
  • we're not liable for indirect, incidental, special or consequential losses, or lost profits;
  • our total liability to you for anything to do with the program is limited to the amount you paid us.

Nothing here limits liability that can't be limited by law.

Attorneyconfirm this is enforceable in Florida consumer contracts and add an indemnity clause if you advise one.

12. Ending your access

Your access ends at the end of your access term. We may end it early if you break these terms (section 6 or section 7). Sections 4, 7, 8, 9, 11, 13 and 14 continue after access ends.

13. Governing law

These terms are governed by the laws of the State of Florida. Attorneyconfirm Florida law and the venue (e.g. Ownercounty, Florida).

14. Disputes

Contact us first at offers@cedaracq.com. We'll try to resolve any problem within 30 days.

Attorneychoose the dispute process: Florida courts in a named county; small-claims carve-out; binding individual arbitration with a class-action waiver (and which provider and rules); or none. Consider how arbitration interacts with chargebacks and with students in other states.

15. Changes to these terms

We may update these terms for future enrollments. The version you agreed to at checkout applies to your enrollment. We keep a copy of the version and the time you agreed (stored with each order: the terms version, the time you ticked the box and your IP address).
